Terms of Service

These Terms of Service ("Terms") govern your use of the website at ohventures.co (the "Site"), the free tools and content available on it, and your interactions with Oh Ventures LLC, a Pennsylvania limited liability company ("Oh Ventures," "we," "us," or "our"), including booking and attending meetings with us. By using the Site, booking a meeting, or otherwise interacting with us, you agree to these Terms and to our Privacy Policy.

If you do not agree to these Terms, do not use the Site or book a meeting.

1. What Oh Ventures Does

Oh Ventures is an embedded operating firm providing capital strategy, financial infrastructure, and operational leadership to venture-stage companies. The Site describes those services and offers free informational tools and content.

Nothing on the Site, and no meeting booked through it, creates a client or advisory relationship. Client engagements are established only by a separately signed engagement agreement. If these Terms conflict with a signed engagement agreement, non-disclosure agreement, or other written contract between you (or your company) and Oh Ventures, the signed agreement controls.

2. No Professional Advice

Content, tools, articles, and conversations made available by Oh Ventures, including free calculators and models on the Site, are for general informational and educational purposes only. They do not constitute financial, investment, legal, tax, or accounting advice, and you should not rely on them as such. Outputs of the free tools are estimates based on the inputs you provide and simplified assumptions; verify any figures independently before making decisions.

Oh Ventures does not act as a broker-dealer, does not solicit securities transactions, and does not receive transaction-based compensation tied to capital placement.

3. Recording Consent & Content License

Recording notice

Meetings, calls, and other interactions with Oh Ventures may be recorded and transcribed, including by AI-powered notetaking tools, and may be used to create published content. By booking a meeting or continuing to participate in an interaction after this notice, you consent to being recorded. If you do not want to be recorded, tell us before or at the start of the meeting and we will honor it.

Consent to record

You acknowledge and agree that Oh Ventures may record and transcribe meetings, video and audio calls, screen shares, workshops, and similar interactions in which you participate, for service delivery, record-keeping, and content creation. Where the law of your jurisdiction requires all-party consent to recording, your booking of a meeting after having the opportunity to review these Terms, and your continued participation after any in-meeting notice, each constitute your consent.

Content license

Unless you opt out as described below, you grant Oh Ventures a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, edit, excerpt, adapt, publish, and distribute recordings of interactions in which you participate, including your name, voice, image, and likeness as they appear in those recordings, for Oh Ventures' educational, marketing, and promotional content across any medium, including the Site, social media, video platforms, and podcasts. You waive any right to inspect or approve the finished content and any claim to compensation for these uses.

What this license does not cover

NDA and confidential material. This license does not extend to any information covered by a non-disclosure or confidentiality agreement between you (or your company) and Oh Ventures. Those agreements control, and covered information will not be included in published content.
Sensitive personal information. We will not knowingly publish sensitive personal information, such as government identifiers, financial account details, or health information.
Confidential business information. Non-public financials, cap tables, investor terms, and similar information shared in confidence will not be published without your express approval.

Opting out and revoking

You may decline recording entirely, or consent to recording for internal note-taking only, by telling us before or at the start of a meeting or emailing contact@ohventures.co.
You may revoke this content license prospectively at any time by emailing us. Revocation applies to future publications; for content already published, we will make commercially reasonable efforts to remove it from channels we control, but we are not responsible for copies already downloaded, shared, or re-hosted by third parties.

4. Intellectual Property & Permitted Use

The Site and its content, including text, design, tools, models, and branding, are owned by Oh Ventures or its licensors. You may use the free tools for your own internal business purposes and share links to the Site. You may not copy, republish, resell, scrape, or create derivative works from the Site or tools without our written permission, except as permitted by law (such as fair use with attribution).

5. Acceptable Use

You agree not to misuse the Site, including attempting to disrupt or overload it, probing or breaching its security, misrepresenting your identity when booking meetings, or using the Site or our booking system to send spam or unlawful content.

6. Third-Party Services

The Site links to and relies on third-party services, including Google (scheduling and fonts), Netlify (hosting), and Plausible (analytics). Your use of third-party services is governed by their own terms and privacy policies, and we are not responsible for them.

7. Disclaimers

THE SITE, TOOLS, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT TOOL OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR DECISION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OH VENTURES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, TOOLS, OR CONTENT, OR YOUR PARTICIPATION IN MEETINGS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND DOES NOT APPLY TO OBLIGATIONS UNDER A SIGNED ENGAGEMENT AGREEMENT, WHICH ARE GOVERNED BY THAT AGREEMENT.

9. Indemnification

You agree to indemnify and hold harmless Oh Ventures from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.

10. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any dispute arising under these Terms that cannot be resolved informally will be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania, and you consent to their jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. The effective date above reflects the latest revision. Material changes will be posted on this page, and continued use of the Site or participation in meetings after changes take effect constitutes acceptance of the revised Terms.

12. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any signed agreements between us, are the entire agreement regarding the Site and pre-engagement interactions.
